1 Geltungsbereich
1.1 Die nachfolgenden Bestimmungen regeln die vertraglichen Beziehungen zwischen eclipso als Betreiber von "eclipso E-Mail - SMS - Office" (nachfolgend "eclipso") und den Nutzern der auf der Seite von eclipso angebotenen Leistungen (nachfolgend Nutzer). Sie gelten für alle in diesem Rahmen von eclipso erbrachten Dienstleistungen. Jegliche geschäftliche Beziehungen kommen ausschließlich nach diesen Allgemeinen Geschäftsbedingungen zustande. Anderslautenden Geschäftsbedingungen der Nutzer wird ausdrücklich widersprochen.
1.2 eclipso berechtigt, diese Allgemeinen Geschäftsbedingungen ohne Ankündigungsfrist zu ändern oder zu ergänzen. Die Ankündigung erfolgt ausschließlich durch Veröffentlichung im Internet auf den Seiten von eclipso.
Widerspricht der Nutzer den geänderten oder ergänzten Bedingungen nicht innerhalb von 4 Wochen nach deren Veröffentlichung im Internet, so werden die geänderten oder ergänzenden Bedingungen wirksam. Widerspricht der Nutzer fristgemäß, so ist eclipso berechtigt, den Vertrag zu dem Zeitpunkt zu kündigen, an dem die geänderten oder ergänzenden Geschäftsbedingungen in Kraft treten sollen. Abweichende, entgegenstehende oder ergänzende Allgemeine Geschäftsbedingungen werden, selbst bei Kenntnis, nicht Vertragsbestandteil, es sei denn, eclipso hat ihrer Geltung ausdrücklich schriftlich zugestimmt.
2 Vertragsabschluss
2.1 Durch die Anmeldung bei eclipso und die Erbringung von angeforderten Dienstleistungen durch eclipso kommt ein Rahmenvertrag zwischen eclipso und dem Nutzer zustande. eclipso stellt die in Punkt 3 dieser Allgemeinen Geschäftsbedingungen bezeichneten Leistungen zur Verfügung. eclipso kann ohne Angabe von Gründen ablehnen, mit einem Kunden ein Vertragsverhältnis einzugehen.
2.2 Der Nutzer sichert zu, dass die von ihm im Rahmen des Vertragsangebots oder des Vertragsschlusses gemachten Angaben über seine Person und sonstige vertragsrelevante Umstände vollständig und richtig sind. Der Nutzer verpflichtet sich, eclipso jeweils unverzüglich über Änderungen der Daten zu unterrichten; auf entsprechende Anfrage von eclipso hat der Nutzer die Daten zu bestätigen. Bei Verstoß ist eclipso berechtigt, die vertraglichen Leistungen sofort zu sperren. Bei der Anmeldung hat der Nutzer eine ladungsfähige Anschrift anzugeben. Ist dies nicht oder nur unzureichend der Fall, behält sich eclipso vor, den Account des Nutzers ohne Angabe von weiteren Gründen zu sperren oder zu löschen.
2.3 Durch die Registrierung des Nutzers auf eclipso stimmt der Nutzer den Erhalt von Werbung mittels E-Mail und ggf. Kurznachrichten (SMS) sowie Newslettern (ebenfalls via E-Mail) uneingeschränkt zu. Durch den Kauf eines Premiumpaketes kann der Erhalt von Werbung abbestellt werden.
3 Leistungen, Nutzungsregeln, Inhalte, E-Maildienst und Datenverkehr
3.1 Pro Nutzer (= ladungsfähige Postadresse) ist ein (1) Account zulässig. Weitere E-Mail-Adressen (Aliase) können je nach Paket im internen Bereich angelegt werden. Die Anzahl der max. zulässigen Aliasadressen wird auf den Seiten von eclipso bekannt gegeben.
3.1.1 Erfolgt nach der Registrierung kein Login, wird der Account nach max. 48 Stunden wieder gelöscht.
3.2 Der Nutzer darf mit Form, Inhalt oder verfolgtem Zweck seiner Internet-Seiten (eclipso Drive, Fotoalbum, Blog, eclipso PIN, Fax, Post, Forumsbeitrag oder Homepage) nicht gegen gesetzliche Verbote, die guten Sitten und Rechte Dritter (Namens-, Urheber-, Datenschutzrechte usw.) verstoßen. Insbesondere verpflichtet sich der Nutzer, im Rahmen seiner Präsenz auf eclipso keine pornografischen, gewaltverherrlichenden oder volksverhetzenden Inhalte darzustellen, nicht zu Straftaten aufzurufen oder Anleitungen hierfür darzustellen und keine Leistungen anzubieten oder anbieten zu lassen, die pornografische und/oder erotische Inhalte (z.B. Nacktbilder, Peepshows etc.) zum Gegenstand haben. Gleiches gilt für die Versendung von E-Mails bzw. SMS.
3.3 Der Nutzer darf keine Daten versenden oder auf einem Datenträger von eclipso speichern, die nach ihrer Art oder Beschaffenheit (z.B. Viren), Größe oder Vervielfältigung (z.B. Spamming) geeignet sind, den Bestand oder Betrieb des Rechenzentrums oder Datennetzes von eclipso zu gefährden.
3.4 Für jeden Fall der schuldhaften Zuwiderhandlung gegen vorstehende Verpflichtung unter Berücksichtigung des Rechtsinstitutes des Fortsetzungszusammenhangs verspricht der Nutzer die Zahlung einer Vertragsstrafe in Höhe von EUR 5.000,00 (in Worten: fünftausend Euro). Die Geltendmachung eines weiteren Schadensersatzes durch eclipso ist dadurch nicht ausgeschlossen.
3.5 Erlangt eclipso Kenntnis davon, dass jeglicher Datenverkehr vom Nutzeraccount ausgehend (E-Mail, SMS, PIN, Drive, Fotoalbum, Post, Fax) mit/in Form, Inhalt oder verfolgtem Zweck gegen gesetzliche Verbote/Gebote, Rechte Dritter oder die guten Sitten verstoßen, ist eclipso berechtigt, die rechtswidrigen Informationen zu entfernen oder den Zugang zu diesen zu sperren.
3.6 eclipso übernimmt keine Gewähr für die Weiterleitung von E-Mails, SMS oder sonstigen Nachrichten an den Empfänger, ebensowenig für die richtige Wiedergabe der Internet-Seiten des Nutzers in der Internet-Präsenz, es sei denn, eclipso kann Vorsatz oder grobe Fahrlässigkeit zur Last gelegt werden.
3.7 Sofern das Datentransfervolumen (Traffic) oder das Datenspeichervolumen die für den jeweiligen Monat tariflich vorgesehene Höchstmenge übersteigt, kann eclipso das Datentransfervolumen reduzieren, die Seiten und/oder Accounts sperren und/oder vom Nutzer für die überschreitenden Volumina ein angemessenes Entgelt verlangen (eclipso Drive, Fotoalbum).
3.7.1 Speicherplatzerhöhung E-Mail / eclipso Drive - Paket Freemail
Der Nutzer erhält bei Anmeldung Speicherplatz i.H. von 5 GB (Gigabyte) für E-Mails und 5 GB für eclipso Drive. Ist das Speichervolumen erreicht, kann der Nutzer über das Ticketsystem eine Aufstockung des Speicherplatzes beantragen. Die Speichererweiterung erfolgt in 5 GB-Schritten, jeweils 2,5 GB für E-Mails und 2,5 GB für eclipso Drive. Der Nutzer erhält i.d.R. innerhalb 48 Stunden nach Beantragung eine Speichererweiterung zugewiesen. Die Aufteilung zu Gunsten einer Funktion (E-Mail oder eclipso Drive) ist nicht änderbar.
3.7.2 Speicherplatzerhöhung E-Mail / eclipso Drive - Paket Premium
Der Nutzer erhält bei Anmeldung Speicherplatz i.H. von 10 GB (Gigabyte) für E-Mails und 10 GB für eclipso Drive. Ist das Speichervolumen erreicht, kann der Nutzer über das Ticketsystem eine Aufstockung des Speicherplatzes beantragen. Die Speichererweiterung erfolgt in 10 GB-Schritten, jeweils 5 GB für E-Mails und 5 GB für eclipso Drive. Der Nutzer erhält i.d.R. innerhalb 48 Stunden nach Beantragung eine Speichererweiterung zugewiesen. Die Aufteilung zu Gunsten einer Funktion (E-Mail oder eclipso Drive) ist nicht änderbar.
3.9 Free SMS / kostenlose SMS
3.9.1 Der in diesen Geschäftsbedingungen genutzte Begriff SMS umfaßt alle, über das Portal eclipso gesendeten Einheiten, dass heißt ebenso Logos, Klingeltöne, Bildmitteilungen und weitere in Zukunft oder jetzt angebotenen Dienstleistungen. eclipso behält sich das Recht vor, die Leistungen zu erweitern, zu ändern und Verbesserungen vorzunehmen oder einzelnen Leistungen komplett einzustellen. Der Nutzer akzeptiert ausdrücklich die eingeblendete Werbung, sowie die eventuell automatische Weiterleitung auf die Internetseite des aktuellen Werbepartners.
3.9.2 Der Nutzer hat die Möglichkeit, kostenlose SMS im Rahmen des ihm zur Verfügung gestellten Kontingentes zu versenden. Der Nutzer hat keinen Anspruch auf ständige Verfügbarkeit des Dienstes. Aufgrund technischer Gegebenheiten kann es vorkommen, daß dem Nutzer genügend Kontingent angezeigt wird, ein Versand zu diesem Zeitpunkt dennoch nicht möglich ist. Das ungenutzte Kontingent wird monatlich gelöscht und das festgelegte Konting erneut zur Verfügung gestellt. Der Nutzer hat im Laufe seiner Mitgliedschaft keinen Anspruch auf die, bei der Registrierung genannte Anzahl an Free SMS. Für diesen Service ist eine Registrierung erforderlich. Mit der Registrierung erklärt sich der Nutzer damit einverstanden, dass die SMS mit der Werbung \"by eclipso.de/eclipso.at/eclipso.ch\" versendet werden.
3.10 Kostenpflichtiger Service
3.10.1 Premiumaccounts / Premiumpakete
eclipso Premium kennzeichnet einen kostenpflichtigen Mehrwert des kostenlosen Angebotes. Premiumaccounts sind kostenpflichtig und für die gewählte Laufzeit im Voraus zu bezahlen. eclipso verwendet kein sich automatisch verlängerndes Abonnementverfahren. Die Zahlung erfolgt manuell, ausschließlich durch aktive Betätigung des Bestellvorganges. Nach Ablauf der Laufzeit muss der Bestellvorgang vom Nutzer selbst erneut vorgenommen werden.
3.10.2 Zusatzleistungen
Für bestimmte Dienste und Zusatzfunktionen (z.B. Fax, Post, SMS mit Absenderkennung) ist die Einzahlung auf ein Nutzerkonto mit sog. "Credits" notwendig. Die Kosten für den Gebrauch der auf eclipso angebotenen Zusatzdienstleistungen werden über das jeweilige Credits-Guthaben des Nutzers beglichen (siehe Preistabelle). Der Nutzer kann nur dann Gebrauch von den Produkten und Dienstleistungen machen, wenn sein Credits-Guthaben dafür ausreichend ist. Im Falle der Inanspruchnahme des entgeltlichen Services gelten die von eclipso festgelegten Preise und Bezahlmöglichkeiten, die jederzeit online auf der Seite von eclipso eingesehen werden können. Über Änderungen der Gebühren oder Zahlungsbedingungen wird der Nutzer, mittels Newsletter (E-Mail Versand), rechtzeitig durch eclipso informiert. Bei Preiserhöhungen Dritter kann eine rechtzeitige Information nicht gewährleistet werden.
4 Pflichten des Nutzers
4.1 Die durch eclipso angebotenen Produkte und Dienstleistungen sind ausschließlich für den privaten Gebrauch bestimmt. Die versandten Informationen und E-Mails und Kurznachrichten (SMS) dürfen nicht an Dritte weitergegeben werden. Kommerzieller Gebrauch der von eclipso angebotenen Produkte und Dienstleistungen ist nur dann zugestanden, wenn dem Nutzer hierzu zuvor die Erlaubnis von eclipso schriftlich erteilt worden ist.
4.2 Der Nutzer trägt die alleinige Verantwortung für die Inhalte der versandten Nachrichten (E-Mail & SMS). Dem Nutzer obliegt es, eclipso von Ansprüchen Dritter freizustellen, die diese aus der Nutzung von eclipso gegen eclipso geltend machen. eclipso ist nicht verpflichtet, SMS daraufhin zu prüfen ob durch diese Rechte Dritter beeinträchtigt werden. Eine Pflicht zur Überwachung der Inhalte besteht nicht. eclipso behält sich jedoch das Recht vor, rechtswidrige, diskriminierende, sexistische, moralisch verwerfliche oder sonst bedenkliche Inhalte zu löschen, oder deren Weiterverbreitung zu verhindern, wenn diese bekannt werden und auf gerichtliche oder behördliche Anordnung auch an die Strafverfolgungsbehörden weiter zu geben. Die Nutzung des SMS - Versands unterliegt den jeweils regional, national und international gültigen Gesetzen und Bestimmungen.
4.3 Der Nutzer verpflichtet sich:
Inhalte, Fotos, Dateien, Nachrichten, Mitteilungen jedweder Art nicht unter Nutzung der Dienste von eclipso zu speichern, zu verfassen, zu verbreiten, zu verschicken oder Dritten per Link bzw. Download zur Verfügung zu stellen, die:
- dem Strafgesetzbuch zuwiderlaufen,
- die Grundrechte der Bundesrepublik Deutschland missachten oder gegen diese verstoßen
- Themen und Inhalte, die sexuellen, rassistischen oder diskriminierenden Bezug haben
- gegen geltendes Urheberrecht verstoßen
Erlangt eclipso Kenntnis von solchen Inhalten, ist eclipso berechtigt den Account zu sperren und dem Nutzer den Zugang zu verweigern.
4.4 Der Nutzer verpflichtet sich ferner, die Privatsphäre anderer zu respektieren und daher in keinem Fall ungefragte, belästigende, verleumderische oder bedrohende Inhalte zu verschicken. Verstößt der Nutzer hiergegen, ist eclipso berechtigt, den Nutzer ohne Ankündigung von der Nutzung von eclipso auszuschließen und dem Nutzer den Zugang zum Account dauerhaft zu verwehren.
4.5 Der Nutzer verpflichtet sich, von eclipso zum Zwecke des Zugangs zu deren Diensten erhaltene Passwörter streng geheim zu halten und eclipso unverzüglich zu informieren, sobald er davon Kenntnis erlangt, dass unbefugten Dritten das Passwort bekannt ist. Sollten infolge Verschuldens des Nutzers Dritte durch Gebrauch der Passwörter Leistungen von eclipso nutzen, haftet der Nutzer gegenüber eclipso auf Nutzungsentgelt und Schadensersatz.
4.6 Zur Nutzung des SMS-Dienstes ist es notwendig, einen PIN an die Handynummer des Nutzers zu senden. Der Nutzer sichert bei Anforderung des PIN`s zu, daß die angegebene Handynummer seine eigene ist und auf seinen Namen bei der Telefongesellschaft registriert ist. Die Angabe einer Handynummer, die nicht persönlich auf den Nutzer registriert ist, wird strafrechtlich verfolgt, der Account bei Bekanntwerden umgehend gesperrt.
4.7 Der Nutzer ist verpflichtet, sich vor Vertragsschluss zu informieren, ob die gewünschte Leistung von eclipso kompatibel zu seinem Mobiltelefon, PC, Rechner etc. ist. Für Schäden, die dadurch entstehen, dass der Nutzer Leistungen an nicht kompatible Geräte verschickt, haftet eclipso nicht.
4.8 Zur Verwendung von eclipso PIN ist es notwendig, dass der Nutzer einen sog. Nicknamen anlegt. Der Nickname darf keinen rassistischen Hintergrund haben, keine Diskriminierung von Dritten verfolgen, das Markenrecht nicht verletzen und keinen sexuellen oder erotischen Begriff enthalten oder widerspiegeln.
4.9 eclipso PIN Profil. Der Nutzer kann für die Verwendung von eclipso PIN ein eigenes Kurzprofil erstellen. Der Nutzer hat die Möglichkeit seinen Klarnamen (Vor- und Nachname) freiwillig anzuzeigen. Bei Verwendung des Klarnamens sichert der Nutzer zu, dass der angegebene Name keine Rechte Dritter verletzt, kein Fakename ist oder ein Name verwendet wird, der nicht dem des Nutzers entspricht.
5 Urheber- und Kennzeichenrechte, Rechte von eclipso
5.1 Sämtlicher Content auf eclipso, insbesondere Klingeltöne und Logos unterliegen gewerblichen Schutzrechten, besonderen Marken-, Namens- und Urheberrechten. Sämtliche Lieferungen und Leistungen von eclipso sind nur zur eigenen Verwendung des Nutzers bestimmt. Der Nutzer ist insbesondere nicht berechtigt außerhalb der gesetzlichen Ausnahmen, Leistungen zu vervielfältigen oder entgeltlich oder unentgeltlich an Dritte weiterzugeben. Unberechtigte Inanspruchnahme von Leistungen, gleich welcher Art, können Unterlassungsansprüche und Schadensersatzforderungen durch eclipso nach sich ziehen.
5.2 Der Nutzer darf die Inhalte nur im Rahmen der angebotenen Funktionalitäten der Webseiten für seinen persönlichen Gebrauch nutzen und erwirbt keinerlei Rechte an den Inhalten oder Programmen. Die Reproduktion oder Modifikation der Webseiten von eclipso, weder ganz noch teilweise, ist ohne schriftliche Genehmigung von eclipso ausdrücklich untersagt. Unter dieses Verbot fällt insbesondere die gewerbliche Vervielfältigung per Kopie, die Aufnahme in elektronische Datenbanken, in Online-Dienste und die Vervielfältigung auf elektronische Datenträger (CD-ROM, DVD-ROM usw.).
5.3 Alle Rechte, Rechtstitel und Nutzungsrechte an den Diensten sind und bleiben mit Ausnahme der vom Nutzer übermittelten Inhalte alleiniges Eigentum von eclipso. eclipso ist durch das Urheberrecht und durch das eingetragene Markenzeichen "eclipso E-Mail - SMS - Office" nach geltendem, deutschen Gesetzen geschützt. Dem Nutzer wird nicht das Recht gewährt, den Namen "eclipso", die Marke, Logos oder Domainnamen und sonstige charakteristische Markenzeichen von eclipso zu verwenden.
5.4 Kommentare, Rückmeldungen oder Vorschläge, die in Bezug auf eclipso oder die Dienste vom Nutzer an eclipso übermittelt werden, sind absolut freiwillig.
Es steht eclipso frei, Kommentare, Rückmeldungen oder Vorschläge nach eigenem Ermessen zu verwenden, ohne dass uns dem Nutzer gegenüber Verpflichtungen entstehen.
5.5 eclipso respektiert die geistigen Eigentumsrechte Dritter und erwartet vom Nutzer, dies ebenfalls zu tun. Hinweise auf vermeintliche Urheberrechtsverletzungen, die den Vorgaben geltender Gesetze entsprechen und eclipso ordnungsgemäß angezeigt werden, werden von eclipso verfolgt.
Sämtlicher Content (Schrift, Bild, Video), der vom Nutzer auf eclipso veröffentlicht wird, bleibt Eigentum des Nutzers, sofern hierbei nicht Rechte Dritter verletzt werden. eclipso sichert zu, Content und/oder Daten des Nutzers nur dann für Werbezwecke oder weitere Veröffentlichungen auf eclipso zu verwenden, wenn diese öffentlich zugängig vom Nutzer selbst zur Verfügung gestellt wurden (z.B. bei öffentlichem eclipso PIN-Profil des Nutzers).
6 Haftung und Gewährleistung
6.1 Soweit eclipso kostenlose Dienste und Leistungen erbringt, können diese jederzeit und ohne Vorankündigung eingestellt werden. Ein Minderungs-, Erstattungs- oder Schadensersatzanspruch ergibt sich daraus nicht.
6.2 eclipso übernimmt keine Haftung in Folge von höherer Gewalt und aufgrund unvorhersehbarer und unvermeidbarer Ereignisse, die nicht der Kontrolle von eclipso unterliegen. Zu derartigen Ereignissen zählen unter anderem Krieg, Netzwerk- und Serverfehler, länger anhaltender Stromausfall, extreme Witterungsbedingungen, Streiks oder andere Konflikte zwischen Arbeitnehmern und Arbeitgebern, Störungen im Internetdatentransfer, fehlgeschlagene Übermittlungen, Sabotage oder andere Ereignisse außerhalb des Ermessens von eclipso.
6.3 eclipso übernimmt keine Gewähr für den Versand der SMS an Mobilfunkgeräte und den Empfang der SMS durch Mobilfunkgeräte, da dies im alleinigen Verantwortungsbereich der einzelnen Netzbetreiber liegt. eclipso haftet nicht für Schäden in Folge von verzögerter oder unterbliebener Auslieferung von SMS. Dies gilt insbesondere für den falschen Versand der SMS Nachrichten.
6.4 Für Wartungsarbeiten, Server- und Softwareupdates behält sich eclipso das Recht vor, den Zugang zum Internetangebot einzuschränken.
6.5 eclipso haftet nicht für nicht erhaltene E-Mails. eclipso haftet nicht für den Verlust jeglicher Daten, Fotos, Videos, Texten, Dateien die vom Nutzer auf den Servern von eclipso gespeichert wurden. Der Nutzer hat in regelmässigen Abständen selbst für ein Backup seiner auf den Servern von eclipso gespeicherten Informationen zu sorgen.
7 Vertragsdauer und Kündigung
7.1 Das Vertragsverhältnis wird auf unbestimmte Dauer geschlossen und kann von beiden Parteien ohne Einhaltung einer Kündigungsfrist jederzeit beendet werden. Die Kündigung erfolgt durch Beendigung der Mitgliedschaft durch den Nutzer selbst. eclipso stellt dazu im Account ein Menü zur Verfügung. Etwaige Guthaben auf dem Konto des Nutzers verfallen mit Eingang der Kündigung bei eclipso. Im Falle einer ordentlichen Kündigung durch eclipso wird ein Guthaben, sofern es EUR 10,00 übersteigt und alleine durch Einzahlungen entstanden ist, auf Verlangen des Nutzers erstattet.
7.2 Das Recht zur außerordentlichen Kündigung bleibt unberührt. Ein Grund für eine außerordentliche Kündigung liegt insbesondere vor, wenn der Kunde bei der Anmeldung falsche Angaben gemacht hat oder durch die Nutzung des Dienstes gegen gesetzliche Vorschriften verstoßen hat. Im Falle einer außerordentlichen Kündigung durch den Nutzer, wie auch durch eclipso verfällt ein eventuell vorhandenes Guthaben auf dem Benutzerkonto.
7.3 Wird ein Benutzerkonto für die Dauer von 365 Tagen nicht genutzt, erfolgt zunächst eine automatische Sperrung des Benutzerkontos. Nach Ablauf der Frist von insgesamt 550 Tagen nach dem letzten Login wird das Benutzerkonto aufgelöst, sämtliche Daten zu diesem Benutzerkonto werden gelöscht. Ein zu diesem Zeitpunkt noch vorhandenes Guthaben verfällt.
7.4 Löschung personenbezogener Daten - beendete Mitgliedschaften
Die Daten von als gelöscht markierten Accounts werden frühestens 180 Tage nach Beendigung der Mitgliedschaft endültig aus dem System gelöscht. Der Nutzer hat das Recht, die Löschung seiner Daten früher als die angegebenen Fristen zu fordern. Die Anforderung zur früheren Löschung der Daten aus dem System von eclipso hat in Schriftform zu erfolgen (per Briefpost oder per Fax).
8 Datenschutz
8.1 eclipso wird bei dem Umgang mit personenbezogenen Daten des Nutzers die gesetzlichen Vorschriften über den Datenschutz sowie die gesetzlichen Vorschriften über das Fernmeldegeheimnis beachten. Die gesetzlichen Bestimmungen werden zudem durch das Gesetz bzw. die Richtline zur sog. Vorratsdatenspeicherung" geregelt.
8.2 eclipso ist berechtigt, die personenbezogenen Daten des Kunden im Rahmen ihrer Werbeverträge mit den Sponsoren zu verarbeiten und zur Kategorisierung einzelner Zielgruppen zu nutzen, wobei keine Weitergabe der Daten an Dritte erfolgt.
9 Widerrufsbelehrung

If a user account is not used for a period of 365 days, the user account is automatically blocked. After expiry of the period of a total of 455 days at the most after the last login, the user account will be closed and all inventory data for this user account will be deleted.
.If the person concerned deactivates the account himself, the user account will be closed after the expiry of the period of a total of no more than 90 days after deactivation and all data relating to this user account will be permanently deleted.
